Software License Agreement & EULA

1. License Grant & Agreement Scope

This Software License Agreement and End User License Agreement ("Agreement", "EULA") is a legal agreement between Onesign Concept Enterprises Limited ("Licensor", "Onesign Concept", "we") and the individual or business entity ("Licensee", "you") acquiring digital software, developer tools, boilerplates, templates, or architectural component modules ("Software") through onesignconcept.com.

By purchasing, downloading, installing, cloning, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, install, or use the Software.

2. License Tiers & Permitted Commercial Uses

We license our software under three transparent tiers based on the license plan purchased at checkout:

#### A. Standard License

• Permitted Use: Grants the Licensee a non-exclusive, non-transferable, perpetual license to install and run the Software for one (1) commercial or personal end product owned by the Licensee.
• Activations: One (1) production deployment domain and associated local/staging development environments.
• Source Code Rights: You may modify the source code freely for the licensed end product.
• Restrictions: You may not redistribute, resell, lease, sublicense, or share the raw source code repository with third parties.

#### B. Developer License

• Permitted Use: Grants the Licensee a non-exclusive, non-transferable, perpetual license to deploy the Software across up to five (5) client or commercial projects.
• Activations: Up to five (5) unique production domains and associated staging environments.
• Client Delivery: You may deliver compiled or packaged applications incorporating the Software to paying clients, provided client staff do not receive rights to redistribute the underlying boilerplate.
• Priority Support: Includes priority email support and all minor and major updates released during the support term.

#### C. Extended / Enterprise Commercial License

• Permitted Use: Grants the Licensee an unrestricted, non-exclusive, perpetual commercial license to deploy the Software across unlimited commercial SaaS products, enterprise applications, and internal tools.
• White-Labeling: You may white-label, rebrand, and integrate the Software into proprietary multi-tenant cloud platforms.
• IP Waiver: Includes full commercial source code indemnity for deployment within proprietary SaaS systems.
• Redistribution Boundary: You may distribute the Software as an integrated component of a broader software application, but you may not resell or distribute the Software as a standalone codebase, developer boilerplate, UI kit, or competing theme marketplace asset.

3. Restrictions & Prohibited Conduct

Regardless of the license tier acquired, the Licensee shall not: 1. Resale as a Competing Asset: Resell, redistribute, sublicense, lease, or publish the source code or assets in any format that enables third parties to use the Software as an independent developer template, boilerplate, or starter kit. 2. Public Code Repositories: Upload uncompiled, proprietary source code to public GitHub, GitLab, or open-source repositories without express written consent. 3. Circumvention: Circumvent, tamper with, or reverse engineer cryptographic license verification checks, machine activation gates, or telemetry mechanisms where applicable. 4. Trademark Misrepresentation: Use Onesign Concept trademarks, logos, or brand assets in a manner that implies direct endorsement without a formal partner agreement.

4. Cryptographic License Verification & Compliance

1. License Keys: Upon purchase, a cryptographic license key is generated. The Software may periodically ping our activation server (license.onesignconcept.com) to verify license validity, activation count, and retrieve security updates. 2. Telemetry: License verification pings transmit only cryptographic hash tokens, software version tags, and host domain names. No customer database records, application code, or sensitive data are transmitted. 3. Compliance Audits: In enterprise deployments, Onesign Concept reserves the right to request reasonable documentation verifying that software installations do not exceed the permitted activation count.

5. Intellectual Property & Ownership

The Software is licensed, not sold. Onesign Concept Enterprises Limited retains all right, title, interest, copyright, and trade secrets in and to the Software, including all underlying architecture, source files, documentation, and design assets, subject only to the specific license rights granted herein.

6. Updates, Patches & Support

1. Maintenance & Minor Updates: All license tiers include twelve (12) months of critical security patches, bug fixes, and minor version updates from the date of purchase. 2. Major Version Releases: Major architectural overhauls (e.g., framework major version migrations) may be offered under preferential upgrade pricing for active license holders. 3. Support SLA: Developer and Extended licenses include priority email and Slack guidance for setup and deployment inquiries.

7. Termination

1. Termination for Breach: This license automatically terminates if you fail to comply with any material term of this Agreement. 2. Post-Termination Duties: Upon termination, you must immediately cease all use of the Software and permanently delete all copies of the source code from your servers, workstations, and version control repositories.

8. Disclaimer of Warranties & Limitation of Liability

1. "As-Is" Provision: The Software is provided "as is" and "as available", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. 2. Liability Cap: In no event shall Onesign Concept Enterprises Limited be liable for any direct, indirect, incidental, or consequential damages (including loss of data or business profits) arising from the use or inability to use the Software. In all cases, our total aggregate liability under this Agreement shall not exceed the amount actually paid by you for the applicable Software license.

9. Governing Law & Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal action or dispute arising out of this Agreement shall be resolved through binding commercial arbitration in Lagos, Nigeria, or via mutually agreed international arbitral tribunals.
